1. Acceptance of Terms

By accessing or using our AI chatbot platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a dental practice or other organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

We provide an AI-powered chatbot that can be embedded on dental practice websites. The chatbot answers visitor questions based on your website content, captures lead information, and delivers notifications to your team. The Service includes a dashboard for managing conversations, reviewing leads, and configuring chatbot settings.

3. Account Terms

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.

You may invite team members to your account with varying permission levels (owner, admin, support, analyst). The account owner is responsible for the actions of all team members.

4. Payment Terms

4.1 Pricing

The Service is offered at a flat monthly rate as displayed on our pricing page at the time of your subscription. Prices are in US dollars and do not include applicable taxes, which will be added where required by law.

4.2 Free Trial

New accounts receive a 14-day free trial with full access to all features. required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your chatbot will be deactivated but your data will be retained for 90 days.

4.3 Billing

Subscriptions are billed monthly in advance. Payment is processed automatically on the same day each month through our payment processor (Stripe). If payment fails, we will attempt to process it again over the following 7 days. If all attempts fail, your account will be suspended until payment is resolved.

4.4 Refunds

We do not provide refunds for partial months of service. If you cancel mid-cycle, your Service will remain active until the end of the current billing period.

5. Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:

  • Your Service will remain active until the end of the current billing period.
  • Your chatbot will be deactivated at the end of the billing period.
  • Your data (conversations, leads, settings) will be retained for 90 days after cancellation.
  • After 90 days, all data will be permanently deleted.
  • You may reactivate your account at any time during the 90-day retention period.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service.
  • Use the chatbot to collect Protected Health Information (PHI) as defined by HIPAA.
  • Impersonate another person or entity through the chatbot.
  • Interfere with or disrupt the Service or servers connected to the Service.
  • Use the Service to send unsolicited messages or spam.
  • Resell or redistribute the Service without our written consent.

7. Intellectual Property

7.1 Our Property

The Service, including its software, design, features, documentation, and branding, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your dental practice during the term of your subscription.

7.2 Your Content

You retain ownership of your website content, practice information, and lead data. By using the Service, you grant us a limited license to use your website content solely for the purpose of training and operating your chatbot. This license terminates when you cancel your account.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without obligation to you. Feedback does not create any confidential relationship or intellectual property rights for the person providing it.

8. AI-Generated Content

The chatbot generates responses using artificial intelligence based on your website content. While we strive for accuracy, AI-generated responses may occasionally contain errors or inconsistencies. You are responsible for reviewing the chatbot's responses and ensuring they accurately represent your practice. We are not liable for decisions made by website visitors based on AI-generated responses.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF PATIENTS, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs and attorneys' fees.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through a notice on our dashboard at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
